Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of ClinicAI's website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Services

ClinicAI provides AI-powered medical record analysis tools designed for legal professionals. Our Services include:

• Automated extraction and summarization of medical record content
• AI-assisted analysis of diagnoses, treatments, and clinical data
• Citation and source tracking for extracted information
• Secure document storage and retrieval
• Integration with electronic health record systems (where available)

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. Our Services are intended for licensed legal professionals, law firms, and their authorized staff.

Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload content you do not have the right to use or share
• Use the Services for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems (bots, scrapers) without our permission
• Resell or redistribute the Services without authorization
• Use the Services to develop competing products

Medical Records and PHI

Your Responsibilities

• You are responsible for ensuring you have proper authorization to upload and analyze any medical records
• You must comply with all applicable laws regarding medical records, including HIPAA (where applicable), state privacy laws, and professional ethics rules
• You are responsible for the accuracy of information you provide and upload

Our Responsibilities

• We process medical records using secure, encrypted systems
• We maintain Business Associate Agreements with our AI and infrastructure providers
• We implement appropriate administrative, technical, and physical safeguards
• We do not use your uploaded documents to train AI models
• We provide audit logging of all data access

Intellectual Property

Our Property

The Services, including all software, designs, text, graphics, and other content (excluding your uploaded documents), are owned by ClinicAI and protected by intellectual property laws. You may not copy, modify, or distribute our materials without permission.

Your Property

You retain ownership of all documents and content you upload. By uploading content, you grant us a limited license to process, analyze, and store that content solely to provide the Services to you.

Feedback

If you provide feedback or suggestions about our Services, you grant us the right to use that feedback without compensation or attribution.

Fees and Payment

Pricing

Our current pricing is available on our website. We may change pricing with 30 days' notice for existing customers.

Payment Terms

• Fees are charged based on your selected plan (per-page or subscription)
• Payment is due upon invoice or as specified in your plan
• All fees are non-refundable except as required by law
• You are responsible for all applicable taxes

Late Payment

Accounts with overdue balances may be suspended. We may charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law.

Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability. We may:

• Perform scheduled maintenance with reasonable notice
• Experience occasional outages due to circumstances beyond our control
• Modify, suspend, or discontinue features with notice

We are not liable for any damages resulting from service interruptions.

Confidentiality

We treat your uploaded documents and analysis results as confidential. We will not disclose your confidential information except:

• To provide the Services (including to our subprocessors under appropriate agreements)
• With your consent
• As required by law or legal process
• To protect our rights or the safety of others

Disclaimer of Warranties

We do not warrant that:

• The Services will be uninterrupted or error-free
• AI-generated analysis will be complete or accurate
• The Services will meet your specific requirements
• Defects will be corrected

You use the Services at your own risk.

Limitation of Liability

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow limitations on implied warranties or liability, so some limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless ClinicAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or provide

Termination

By You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of prepaid fees.

By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in conduct harmful to us or other users
• Are required to be terminated by law

Effect of Termination

Upon termination:

• Your right to use the Services ends immediately
• We may delete your account data after a reasonable retention period
• Provisions that should survive (such as indemnification, limitation of liability, and dispute resolution) will remain in effect

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Informal Resolution

Before filing a formal dispute, you agree to contact us at travis@getclinicai.com to attempt informal resolution.

Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association. Each party shall bear its own costs.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.

Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized access to systems.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClinicAI regarding the Services.

Modifications

We may modify these Terms at any time. We will provide notice of material changes via email or on our website. Continued use after changes constitutes acceptance.

Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to any successor or affiliate.
